This Service Agreement applies to this purchase, and you are advised to read them carefully.

By continuing with this purchase, you agree to be bound by this Service Agreement

1. Payments

Payment for each online booking is made online via debit/credit cards, Apple Pay, Google Pay and Afterpay.  You will be provided with a tax receipt for your payment.

2. Client Responsibilities:

To ensure everything runs smoothly, the Client agrees to share all relevant information about your infection control procedures.

3. Client Compliance with Infection Control Standards

The Client agrees to actively implement infection control recommendations provided by the Service Provider.

The Client acknowledges that failure to implement recommendations may affect compliance with infection control standards, guidelines, and best practices and agrees to hold the Service Provider harmless from any non-compliance arising from such failure.

4. Warranty of Information Provided

The Client warrants that all information provided to the Service Provider is accurate, complete, and up to date.

The Service Provider is not liable for any outcomes resulting from incomplete or inaccurate information provided by the Client.

5. Intellectual Property

  • Ownership of Materials: All materials, templates, processes, and documentation developed or provided by the Service Provider during this engagement, including but not limited to reports, training materials, compliance guides, and templates, remain the exclusive property of the Service Provider.
  • License for Use: The Client is granted a non-exclusive, non-transferable license to use these materials solely for their internal business operations. The Client agrees not to modify, distribute, reproduce, or share these materials with any third party without the express written consent of the Service Provider.
  • Prohibited Use: The Client shall not use the materials for any purpose other than those expressly permitted under this Agreement. Unauthorised use, including but not limited to sharing with competitors or using for external consulting purposes, is prohibited.
  • Retention of Rights: The Service Provider retains the right to reuse, repurpose, or resell any templates, processes, or methodologies created during the provision of services, provided such use does not disclose the Client's confidential information.
  • Client-Provided Materials: Any materials, information, or data provided by the Client for use in the services remain the property of the Client. The Service Provider may use these materials only for the purposes outlined in this Agreement and will return or destroy them upon the Client's written request at the conclusion of the engagement.

6. Limitation of Liability and Indemnity

While we base our services on Australian standards and best practices, we cannot guarantee specific outcomes.

Our liability is limited to the fees paid under this Agreement.

You agree to indemnify and hold the Service Provider harmless from any and all claims, liabilities, losses, damages, costs, or expenses (including legal fees) arising out of or in connection with:

  1. Your use or misuse of the advice, recommendations, or documentation provided by the Service Provider.
  2. Your failure to comply with the Service Provider's recommendations or Australian infection control standards.
  3. Any third-party claims resulting from actions or omissions by the Client, including but not limited to the implementation of infection control measures or use of third-party products or services.
  4. Any inaccuracies or omissions in information provided by the Client to the Service Provider.

 7. Disclaimers

  • Professional Advice Disclaimer: The Service Provider offers services and advice based on current Australian infection control standards, guidelines and best practices. However, these recommendations do not constitute medical, legal, or regulatory advice and should not replace professional consultation in these areas.
  • Compliance Disclaimer: While the Service Provider aims to guide the Client towards compliance with Australian infection control standards, guidelines, and best practices, the Client's ultimate compliance responsibility lies with the Client. The Service Provider is not liable for any regulatory breaches or penalties incurred by the Client.
  • Outcome Disclaimer: The Service Provider does not guarantee specific results or outcomes from the services provided. Implementation of recommendations is at the discretion of the Client and may vary based on their circumstances.
  • Third-Party Products or Services Disclaimer: The Service Provider may recommend third-party products or services as part of the consulting process. The Client acknowledges that the Service Provider is not responsible for the performance, suitability, or quality of such third-party offerings.
  • Force Majeure Disclaimer: The Service Provider is not liable for delays or failure to deliver services due to circumstances beyond their control, including natural disasters, pandemics, or changes in regulatory requirements.

8. Compliance with Professional Obligations

As a registered dental practitioner, the Service Provider is legally required under the Health Practitioner Regulation National Law (the National Law) to make a mandatory notification to the Australian Health Practitioner Regulation Agency (Ahpra) if they reasonably believe that a registered health practitioner or student poses a substantial risk of harm to the public due to impairment, intoxication, a significant departure from professional standards, or engagement in sexual misconduct.

  • Notification to Clients: If, during service delivery, the Service Provider identifies concerns that may require a mandatory notification, the Client acknowledges that
    • The Service Provider has a legal duty to report to Ahpra where required by law
    • The notification process is not discretionary and must comply with Ahpra's mandatory reporting obligations.
    • The Service Provider will act in accordance with Ahpra guidelines and relevant professional codes of conduct

9. Limitation of Liability: The Client acknowledges that the Service Provider is not liable for any consequences arising from a mandatory notification made in good faith in compliance with Ahpra's requirements. The Client agrees not to bring claims, legal action, or demand compensation against the Service Provider in connection with any such notification.

10. Confidentiality

  • Both parties agree to keep all information, documentation, and communication related to the services confidential, except where disclosure is required by law.
  • The Service Provider will not disclose any proprietary information or data shared by the Client except as necessary for service delivery or with the Client's express consent

11. Dispute Resolution

  • In the event of a dispute, the parties agree to resolve the matter through negotiation or mediation before pursuing legal action.
  • Mediation will be conducted in Perth, Western Australia, and the cost will be shared equally between the parties.

12. Record Keeping

  • The Service Provider will retain copies of documentation provided to the Client for 12 months for reference purposes only.
  • The Client is responsible for retaining their own copies of materials provided as part of the services.

13. Bookings, Changes and Returns

No refund is offered.

14Survival of Terms: Clauses relating to confidentiality, intellectual property, limitations of liability, indemnity, and payment obligations shall survive the termination or expiration of this Agreement.

15. Governing Law: This Agreement is governed by the laws of Western Australia.
